Paasspay Partner Agreement & Terms of Use

1. Introduction & Acceptance
This Partner Agreement and Terms of Use (“Agreement”) governs your (“Partner”) access to and use of the Paasspay platform, owned and operated by PPQR Technologies Pvt. Ltd. By registering or continuing to use Paasspay services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and the accompanying Privacy Policy.
2. Scope and Relationship
Paasspay functions solely as a digital intermediary connecting customers with verified local technicians, service professionals, and vendors. The Partner provides independent services directly to customers. Paasspay does not employ or control Partners and assumes no responsibility for their performance, materials, conduct, or obligations to third parties.
3. Eligibility and Verification
- The Partner must be at least 18 years of age and legally competent to enter contracts under Indian law.
- All submitted information must be accurate, valid, and verifiable; Paasspay reserves the right to verify identity and background.
- Paasspay may suspend or terminate any Partner account found providing false information or violating applicable regulations.
4. Partner Obligations
- Deliver services with honesty, care, and professionalism in accordance with accepted industry standards.
- Use only verified materials and ensure customer safety and property protection at all times.
- Maintain confidentiality of customer data and never solicit business outside the Paasspay platform.
- Comply with all applicable laws, permits, and occupational safety regulations.
5. Independent Contractor Relationship
The Partner acts as an independent contractor and not as an employee, agent, or representative of Paasspay. Nothing in this Agreement shall create an employer–employee, principal–agent, or joint-venture relationship between the parties.
6. Payments, Commission, and Taxes
Paasspay facilitates payment collection from customers on behalf of Partners where applicable. Commissions, deductions, or fees shall follow Paasspay’s internal policies. Partners are solely responsible for declaring and paying all taxes, duties, and statutory contributions as per Indian law.
7. Confidentiality and Data Privacy
All personal, transactional, and business information exchanged through Paasspay shall remain confidential. Paasspay may process such data for verification, payment, and service purposes in compliance with its Privacy Policy.
8. Intellectual Property
All trademarks, trade names, logos, software, text, graphics, and platform content are the exclusive intellectual property of PPQR Technologies Pvt. Ltd. Partners receive a limited, non-transferable, revocable license to use Paasspay solely for providing approved services. No reproduction, reverse-engineering, or unauthorized use is permitted.
9. Representations and Warranties
The Partner represents that all information provided is accurate, services shall be rendered diligently, and no action shall infringe third-party rights. Paasspay disclaims all implied warranties regarding uninterrupted operation or error-free performance of the platform.
10. Term and Termination
This Agreement remains in effect from acceptance until terminated by either party. Paasspay may immediately suspend or terminate access in cases of fraud, breach, misconduct, or legal non-compliance. Partners may terminate by submitting written notice and ceasing use of the platform. Obligations accrued before termination shall survive.
11. Force Majeure
Neither party shall be liable for delay or failure to perform obligations due to events beyond reasonable control, including acts of God, natural disasters, war, civil unrest, strikes, government actions, network outages, or pandemic restrictions. Obligations resume once conditions normalize.
12. Indemnification
The Partner agrees to indemnify, defend, and hold harmless Paasspay and its directors, officers, and employees from any losses, claims, damages, liabilities, costs, or expenses arising out of Partner’s acts, omissions, or breach of this Agreement.
13. Limitation of Liability
Paasspay shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use its services. Total liability, if any, shall be limited to the commission amount received by Paasspay in relation to the specific transaction in dispute.
14. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India. The courts at Ranchi, Jharkhand, shall have exclusive jurisdiction for any disputes arising hereunder.
15. Amendments and Notices
Paasspay may modify these Terms at any time by posting an updated version on its website or app. Continued participation after such updates constitutes acceptance. Notices to Paasspay may be sent to its registered address or official email channels.
16. Entire Agreement and Acceptance
This document represents the entire understanding between the parties and supersedes all prior communications or proposals. By clicking “Accept Partner Agreement,” the Partner confirms full understanding and consent to these legally binding terms.
